Welcome to CELER LOGISTICS LTD. By accessing or using our services, you agree to be bound by the following Terms of Service. Please read them carefully. If you do not agree with any part of these terms, you must not use our services.

1. Service Description

CELER LOGISTICS LTD provides comprehensive freight forwarding and logistics solutions, including but not limited to:

• Full Container Load (FCL) and Less than Container Load (LCL) shipping services.
• Warehousing, distribution, and supply chain management.
• Customs brokerage and documentation assistance.
• Door-to-door and port-to-port delivery.

All services are provided subject to these Terms of Service and any additional terms agreed upon in writing at the time of booking.

2. User Responsibilities

As a user of our services, you agree to:

• Provide accurate, complete, and timely information regarding your shipment, including cargo description, value, weight, and destination.
• Ensure that all goods comply with applicable laws and regulations of the origin, transit, and destination countries.
• Not ship any prohibited, hazardous, or illegal items without prior written consent and compliance with all relevant regulations.
• Cooperate fully with CELER LOGISTICS LTD and any third-party authorities during the shipping process.

3. Shipping Terms (FCL/LCL)

Full Container Load (FCL): The customer is responsible for packing, sealing, and loading the container. CELER LOGISTICS LTD will transport the sealed container from origin to destination. The customer bears all risks associated with improper packing or loading.

Less than Container Load (LCL): Goods are consolidated with other shipments. CELER LOGISTICS LTD will handle packing and loading. The customer agrees to share container space and accepts potential delays due to consolidation schedules.

All shipping is subject to the carrier's standard terms and conditions, which are incorporated herein by reference.

4. Fees & Payment

All fees are quoted in [Currency, e.g., USD/TZS] and are exclusive of taxes, duties, and surcharges unless stated otherwise.

• Payment Terms: Full payment is due prior to shipment release unless a credit account has been established in writing.
• Additional Charges: The customer is liable for any demurrage, detention, storage, or other charges incurred due to delays caused by the customer or consignee.
• Late Payment: A late fee of [e.g., 2% per month] may be applied to overdue balances.

5. Transit Time & Delays

Transit times provided are estimates only and are not guaranteed. CELER LOGISTICS LTD shall not be liable for delays caused by:

• Acts of God, including weather events, natural disasters, or pandemics.
• Government actions, strikes, or labor disputes.
• Port congestion, customs inspections, or carrier schedule changes.
• Any other cause beyond our reasonable control.

We will use reasonable efforts to notify you of any known delays.

6. Customs Clearance

CELER LOGISTICS LTD may assist with customs documentation, but the customer remains ultimately responsible for:

• Ensuring the accuracy of all customs declarations and supporting documents.
• Payment of all duties, taxes, and fees imposed by customs authorities.
• Compliance with import/export restrictions and licensing requirements.

We are not liable for any delays, fines, or penalties resulting from inaccurate or incomplete information provided by the customer.

7. Limitation of Liability

To the maximum extent permitted by law:

• Our liability for loss, damage, or delay is limited to the invoice value of the goods or [e.g., USD 100 per shipment], whichever is lower, unless additional insurance is purchased.
• We are not liable for indirect, consequential, or incidental damages, including loss of profits or business interruption.
• Claims must be submitted in writing within [e.g., 14 days] of delivery or scheduled delivery date.

8. Indemnification

You agree to indemnify, defend, and hold harmless CELER LOGISTICS LTD, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of:

• Your breach of these Terms of Service.
• Your violation of any law or regulation.
• Any act or omission by you, your employees, or agents.
• The nature, condition, or handling of your goods.

9. Termination

We reserve the right to suspend or terminate services immediately if:

• You fail to pay any amounts due.
• You breach any material term of this agreement.
• You ship prohibited or illegal goods.

Upon termination, you remain liable for all fees and charges incurred up to the date of termination.

10. Dispute Resolution

Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the United Republic of Tanzania.

Arbitration: Any dispute arising out of or relating to these terms shall first be resolved through good-faith negotiations. If unresolved, the dispute shall be submitted to binding arbitration in Dar es Salaam, Tanzania, in accordance with the rules of the Tanzania Institute of Arbitration.

Jurisdiction: The parties consent to the exclusive jurisdiction of the courts of Tanzania for any matters not subject to arbitration.
